Our Club is dedicated to promoting Florida College. We have agreed to put aside any differences and unite in this goal. Please consider joining us today in our efforts to support this institution. It is just $20 for a family and $10 for a single to support our club annually. Money goes to the direct support of the club and it's activities.
This organization shall be known as the “Greater Northwest Florida College Booster Club.”
Article II Purpose
The purposes and objectives of this organization shall be to establish mutually beneficial relationships among Florida College, its alumni and friends, this Booster Club, and potential alumni in the Greater Northwest region by: (1) Providing information about Florida College, its operations and needs. (2) Establishing and perpetuating friendship and understanding between Florida College, its alumni, and friends. (3) Seeking out and providing information about Florida College to potential students, thereby encouraging such students to attend Florida College. (4) Provide wholesome activities for youth that promote the above purposes.
Article III Limitations
(1) This organization is NOT to be operated in connection with the work or worship of any church. (2) This organization is organized exclusively for charitable, spiritual, educational, and scientific purposes, including for such purposes as the making of distributions to organizations that qualify as exempt organizations under Section 501(c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue law). (3) No part of the earnings of this corporation shall inure to the benefit of, or be distributable to its members or officers. The corporation shall be authorized and empowered to pay reasonable compensation for services rendered to make payments and distributions in furtherance of the purposes set forth herein. (4) No substantial part of the activities of this organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation. The corporation shall not participate in or intervene in any political campaign on behalf of any candidate for public office, including the publishing or distributing of statements. (5) Notwithstanding any other provision of these by-laws, the corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal income tax under section 501(c) (3) of the Internal Revenue Code of 1954, or of any future corresponding provision of the United States Internal Revenue law. (6) Upon dissolution of the corporation, the Officers shall, after paying or making provision for the payment of all liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the corporation in such manner and to such organization or organizations as to be in compliance with section 501(c) (3) of the Internal Revenue GNWFCBC By-Laws, Code of 1954, or of any future corresponding provision of the United States Internal Revenue law.
Article IV Membership
The members of this organization shall be composed of friends or alumni of Florida College, whose annual dues are paid. All members shall be voting members, limited to members age 18 or older.
Article V Officers
(1) Officers for this chapter shall consist of a President, a Vice-President, a Secretary, and a Treasurer. (2) Election of Officers shall take place at the last regularly scheduled meeting at large of the calendar year (the Annual Meeting). Elected officers shall begin serving their term effective with the beginning of the immediately subsequent calendar year. (3) Each officer shall serve a two-year term when initially elected. Thereafter, if re-elected, each subsequent term is a one-year term. (4) The Office of President and of Vice-President shall be limited to three successive terms in that particular office by any particular member. The President or Vice-President may be elected to any other office immediately following three successive terms in either of these offices. There is no limit on successive terms for the position of Secretary or Treasurer. (5) The Vice-President shall not automatically assume the position of the President. (6) Officers shall not receive monetary compensation for their services. They may be reimbursed for expenses paid on behalf of the Booster Club. (7) An officer may be removed from office by a two-thirds vote at any meeting at large. (8) An officer who resigns from office or is removed from office must be replaced by a majority vote at the next meeting at large.
Article VI Meetings
(1) An Annual meeting at large shall be convened for the purpose of electing officers, hearing update reports, and appropriate business. (2) Regular meetings at large shall be held at least three per year, inclusive of the Annual meeting. (3) A quorum shall consist of the number of members present at any meeting at large. (4) Notification by e-mail and posting on the website to the general membership shall serve as legal notice of meeting dates and locations, as determined by the officers of the corporation. (5) The President and Treasurer or their designees shall report on the activities and financial condition of the corporation at the Annual Meeting, at a minimum. (6) A special meeting of members may be held: on call of the President or Officers. (7) The Secretary shall prepare minutes of the Officers meetings and members meetings. The Secretary shall also be responsible for authenticating records of the corporation.
Article VII Dues
(1) Dues shall be established as recommended by the officers and approved by the membership. Initial annual dues are set at $10 per individual or $20 for a family membership, family being defined as immediate family at one address. The Treasurer and Secretary shall keep records of members of the corporation. (2) The accounting year shall be the calendar year, ending December 31 annually. (3) Current FC students from the Northwest will be offered a courtesy membership. They must apply and the fee will be waived.
Article VIII Officer Meetings
(1) Officers shall meet regularly as needed to conduct the business of the organization. At a minimum, officers shall meet once between each regular meeting at large. (2) The location and time of each Officer Meeting shall be determined by the Officers. (3) The Officers may appoint committees from the membership at large to aid in accomplishing the activities of the organization. Such committees shall report to the Officers.
Article IX Projects
(1) The officers may determine to participate in any project or activity for the purpose of spreading good will towards, or otherwise supporting Florida College, its Alumni Association, its Alumni, or this organization. Such functions may include fund-raising activities in order to meet the aforementioned objectives. (2) Scholarships (a) From time to time, as approved by the officers, and as funds are available, scholarships to students may be awarded to defray the costs of attending Florida College or Florida College Summer Camp. (b) Florida College scholarship recipients must be a member of GNWFCBC and must be eligible to attend Florida College and accepted to the school. Camp scholarship recipients will be selected by the Officers or a designated committee. (c) Scholarships will not be awarded based on race or gender.
Article X Amendments
These by-laws may be amended by a two-thirds vote at any meeting at large. At least two of the officers of the organization must be in attendance for any such vote.
